Thinking bout buying an 85 4x4 350 4speed
Truck drives out real good the only real problem seems to be two rust holes about the size of two fingers one on the fender and one on the qrt panel
Some rust on drivers rocker panel
Never priced one before is $3500 a good price ??

Is it stock ?, are you sure that is it for rust ? If so then that is not bad. You said it runs good, did you try the 4x4 system ?
In my opinion, for $3500.00 it would have to be in really great shape, and I would do a compression check on engine just to see how the engine is. At $3500.00 it could be well worth it if the P.O. took really good care of it.
My advice, take your time and look it over very well, check out everything and do some test on the mechanical portion of the truck, if you can buy it and not have to do anything except fix a couple small rust holes, then it could be worth the $3500.00.

Couple things, one where do you live? I live in Buffalo, NY and trucks like that are worth it if thats all the rust. Also is this a half ton short bed? long bed? 3/4 ton? 1 ton? if it's a short bed it would be worth that all day long here. Same if it's a 1 ton. I would check the cab mounts and frame area near the rear shocks and the steering box. I would see if the A/C is all there if it's got it, but thats just me. I can't stand trucks without A/C but thats just me. Also if it has dual tanks, do they both work and hold fuel(check for rust). Little things like that can make for bringing the owner down on price. Another thing about the 4 speed when you're driving her around did it fall out of gear? I had one that did that and it was fine if you held it in gear but annoying so something to think about. Let's know if you grab her up or not. Personally I love 4 speed 4x4's they are tough trucks and really nice to work cruise or just build up.

the 350 has been rebuilt i think its 40over, he said he just redone the 4speed put a new clutch and ujoints in it, when i drove it it didnt jump out of gear. New dash pad ,headliner and redid the seat. He has fixed the spot by the steering box that seems to be a problem for a lot of these trucks it has ac but not a the parts. 3in lift with 32. It also has a new fuel pump. the truck is located in Tennessee

powerT, what are you going to do with this truck? Drive it as is or redo it? Without pictures and a lot more info it is hard to tell what it is worth. Factor in what you will be spending on the truck to make it however you want it and see if the total cost is worth it to you in the end. Make sure the frame/steering box repair was done correctly too. My $.02 is that with a compromised frame, these truck aren't worth top dollar.
It's worth whatever you are willing to pay and put into it to make you happy.

it will be for my son as a daily driver,he really loves this year truck in 4x4. He had an 83 2wd but wrecked it in the rain (a total)

I'd give it a solid rust check. You haven't mentioned if it is a short bed or not. If its a short bed or 1 ton as mentioned, then its prolly going to be worth it.
Not knowing its length and weight class, offer 2500 and negotiate from there.

I offerd 3000 but he wont come down any
The ujoint was acting up he take it yesterday and had both replaced
He pretty firm at 3500

The paint is faded black im sure the factory paint the two rust hole and a small rust spot on the drivers rocker panel is all i can see none on the cab or hood

Personally if you and your son like it I would go for it. I would fix the A/C and fix any little things and just go for it. It sounds like a pretty nice truck for the price. Just make sure thats it for rust.
